Welcome to the Flip This Loop competition! Before you jump in, here’s what you need to know:

1. Who can enter – Anyone over 13 can take part. If you’re under 18, you’ll need a parent or
guardian’s permission. You’re responsible for making sure you don’t break any existing contracts
(like with a record label or publisher) by entering.

2. What you can use – We’ll give you five music loops created by the Producer. You can use these
loops only to make and submit music for this competition. You can’t release or sell songs made
with these loops outside the contest, other than for non-commercial purposes.

3. Your entry – Your music must be your own work (apart from the supplied loops). Don’t include
samples or material you don’t have permission to use.

4. Ownership – You keep ownership of your entry. But:
– The winning track will be co-owned 50/50 by you and the Producer.
– The Producer has the exclusive right to turn the winning track into a professional, commercially
releasable recording, which you’ll also co-own 50/50.

5. Publicity – By entering, you agree we can share your name, entry, and likeness to promote the
competition and its results.

6. Judging – A panel chosen by Vampr will decide the winner. Their decision is final.

7. Fair play – If your entry breaks the rules (e.g., using stolen samples or offensive material), we
can disqualify you.

8. Legal stuff – Vampr isn’t responsible for lost or corrupted files, tech issues, or anything outside
our control. By entering, you agree you won’t hold us liable beyond the basic costs of entering.

In short: Use the loops to make something original, submit it, and if you win, you’ll share
ownership with the Producer and get a shot at a commercial release.

Introduction to the Competition

These Terms & Conditions (“Terms”) govern participation in the Flip This Loop competition (“Competition”) organised by Vampr Inc (“Organizer”). The Competition involves members of the Vampr community (primarily being users of the Vampr App) being invited to create a piece of music based on their selection of music loops provided to them for this purpose by the Organizer (the “Entry”). 

Entering the Competition

By submitting an Entry to the Competition, you are deemed to be an entrant (hereinafter referred to as the “Entrant” or “you”) and you agree to these Terms. You will enter the Competition in the manner provided on the website of the Organizer or otherwise communicated to you. By entering the Competition and to the extent necessary Entrants grant the Organizer the right to judge your Entry and the right to publicize the Competition, the Entrant, the Loops, the Entries, the Winning Entrants and the Winning Entry. By entering, Entrants grant the Organizer the right to use their name, likeness, Entry, biographic information and related materials for promotional purposes in connection with the Competition.

Competition Period and Judging

The Competition will run for the period stated on the Organizer’s website or promotional materials (the “Competition Period”), and the Organizer reserves the right to extend the Competition Period in its sole discretion and for whatever reason. A judging panel appointed by the Organizer will judge the Entries. The decision of the judging panel is final and binding, and no appeal is available to Entrants. The judging criteria used by the judging panel shall be determined by the Organizer in its sole discretion. The Organizer shall be entitled to make an announcement of their selection of the winner of the Competition (the “Winning Entrant”), and that entry shall become known as the “Winning Entry”.

Eligibility

Entrants must be at least 13 years old. If under 18, parental or guardian consent is required. Entrants must not be under any verbal or written contractual obligations (with a record label, publisher, production company etc.) that would prevent your participation in the Competition. Entrants are solely responsible for ensuring compliance with their existing obligations and you indemnify the Organizer from any liability arising from your participation.

Licensed Materials

The Organizer, through agreement with a professional music producer (the “Producer”), makes available five (5) original music loops (the “Loops”) for use by Entrants. Entrants are granted a limited, non-exclusive, royalty-free license to use the Loops solely for creating an Entry in the form of a derivative musical composition and sound recording for submission in the Competition. Entrants are expressly prohibited from exploiting the Entry in any manner and, without limitation, may not distribute, license, commercialize, or use the Loops or their Entry for any purpose other than their participation in the Competition.

Submissions

Entries must be original works created by the Entrant using the Loops and must not include unauthorized samples, copyrighted material, or content that infringes any third-party rights. Entrants may submit one or more Entries during the Competition Period.

Ownership and Rights

Entrants retain ownership of their Entries, subject to the Loops remaining owned by the Producer.

The Winning Entry (including the sound recordings and musical composition embedded in the sound recording) will be jointly owned (50/50) by the Producer and the Winning Entrant, as tenants in common.

The Producer shall have the exclusive right to produce the Winning Entry to the stage of it being a commercially releasable master recording, with such master recording also jointly owned (50/50) by the Producer and the Winning Entrant.

When within control of the Winning Entrant, and where reasonably practicable, the Producer shall be credited in connection with the Loops as: “Music loops provided by Lollies”

Entrants who do not win may share their Entry on their social media accounts or personal portfolio platforms for non-commercial purposes only, provided they credit both Producer and Vampr (e.g., “Created for the Vampr Flip This Loop Competition using loops by Lolllies”). No Entry may be licensed to, without limitation, third party brands, businesses, sync libraries or distributors of content, and licensing enquiries relating to any Entry shall be referred to the Organizer who may negotiate a licensing arrangement on behalf of the Entrant and the Producer.

Warranties and Indemnities

Entrants warrant that their Entry is an original, work does not infringe third-party rights, and that they have secured all necessary rights and consents for its use.

Entrants agree to indemnify and hold harmless the Organizer and Producer against any claims, damages, or expenses arising from breach of these Terms or infringement of third-party rights.

Disqualification and Termination

The Organizer reserves the right to disqualify any Entry that:

  • breaches these Terms;
  • infringes intellectual property rights of any third party;
  • contains offensive or unlawful material; or
  • otherwise undermines the integrity of the Competition.

Disqualified Entries may be removed from the Competition without notice, and any rights granted to the Entrant in relation to the Competition will immediately terminate. The prohibition from exploiting the Entry in any many other than as a part of the Competition survives the termination. 

Limitations of Liability

The Organizer is not responsible for lost, late, incomplete, corrupted, or misdirected Entries.

The Organizer is not liable for technical failures, unauthorized third-party interference, or damages arising from participation or attempted participation in the Competition.

To the maximum extent permitted by law, liability of the Organizer, if any, is limited to the Entrants costs of entering the Competition.

Governing Law

These Terms are governed by the laws of Nevada, USA and disputes will be subject to the exclusive jurisdiction of the courts of that jurisdiction.

Acknowledgement

By submitting an Entry, entrants confirm that they have read, understood, and agreed to these Terms. Entrants further acknowledge that participation constitutes a binding legal agreement.
